This User Agreement ("Agreement") constitutes a binding legal contract between you ("User," "you," or "your") and Sphire Passport ("Company," "we," "us," or "our") regarding your access to and use of the Sphire Passport platform, including any associated websites, applications, services, and features (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms, you must immediately cease using the Platform.

Eligibility

By accessing or using the Platform, you represent and warrant that:

You are at least 18 years of age or the legal age of majority in your jurisdiction.
You have the legal capacity and authority to enter into this Agreement and comply with its terms.
Your use of the Platform does not violate any applicable law, regulation, or contractual obligation.
If acting on behalf of a company or other legal entity, you have the authority to bind that entity to this Agreement.

Account Registration and Security

To access certain features of the Platform, you may be required to create an account. You agree to:

Provide accurate, complete, and up-to-date information during the registration process.
Maintain the confidentiality and security of your account credentials, including your username and password.
Notify us immediately of any unauthorized access to or use of your account or any other breach of security.

You acknowledge and agree that you are solely responsible for all activities that occur under your account, and we are not liable for any loss or damage arising from your failure to secure your account.

Use of the Platform

You agree to use the Platform only for lawful purposes and in compliance with this Agreement and all applicable laws and regulations. You further agree not to:

Use the Platform in any manner that could disable, overburden, damage, or impair its functionality or interfere with other Users' access or use.
Engage in unauthorized access, monitoring, or copying of any content, data, or functionality of the Platform.
Use the Platform to transmit or distribute viruses, malware, or other harmful code.
Misrepresent your identity or affiliation with any person or entity.

Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, images, software, and trademarks, are the exclusive property of Sphire Passport and its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works of any content on the Platform without our prior written consent.

Termination

We reserve the right to suspend, restrict, or terminate your access to the Platform at our sole discretion, without notice or liability, for any reason, including but not limited to your violation of this Agreement. Upon termination, your right to access and use the Platform will immediately cease, and you must destroy any content or materials obtained through the Platform.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE PLATFORM AND ANY CONTENT OBTAINED THROUGH IT. WE DISCLAIM ALL LIABILITY FOR DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOSS OF DATA OR INTERRUPTION OF SERVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPHIRE PASSPORT, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless Sphire Passport and its affiliates from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees, arising out of or related to:

Your use or misuse of the Platform.
Your violation of this Agreement or applicable laws and regulations.
Your infringement of any third-party rights, including intellectual property rights.

Changes to This Agreement

We reserve the right to modify this Agreement at any time at our sole discretion. Any changes will be effective immediately upon posting the updated Agreement on the Platform. Your continued use of the Platform following such changes constitutes your acceptance of the modified Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New Jersey and The United States, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in New Jersey and The United States.
